By accessing or using our website, services, courses, workshops, or vir tual sessions (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Services. These Terms constitute a legally binding agreement between you ("you," "your," or "Client") and Bodi KEMiSTRI™ ("we," "us," "our," or "Company").
2. DESCRIPTION OF SERVICES
Bodi KEMiSTRI™ is a somatic nervous system regulation practice that provides wellness services in cluding but not limited to:
Virtual one-on-one sessionsBullet List 2
Online courses and programs
Workshops and group sessions
Educational content and resources
Breath work, postural alignment guidance, and emotional awareness training
Our Services are designed to help clients reconnect with their bodies, regulate stress, release emo tional tension, and cultivate emotional resilience through the integration of physiology, breath, and posture.
3. NOT MEDICAL OR MENTAL HEALTH ADVICE
IMPORTANT DISCLAIMER: The Services provided by Bodi KEMiSTRI™ are for educational and well ness purposes only. Our Services do not constitute medical advice, diagnosis, or treatment, nor do they replace professional medical or mental health care.
We are not licensed medical professionals, psychologists, psychiatrists, or therapists
Our Services are not intended to diagnose, treat, cure, or prevent any disease or medical condition
If you have any medical or mental health concerns, please consult with a qualified healthcare provider before participating in our Services

4. ELIGIBILITY
You must be at least 18 years of age to use our Services. By using our Services, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms.
5. USER RESPONSIBILITIES AND CONDUCT
By using our Services, you agree to:
Provide accurate, current, and complete information during registration and use
Maintain the confidentiality of your account credentials
Notify us immediately of any unauthorized use of your account
Participate responsibly and respectfully in all sessions and interactions
Follow all instructions and recommendations at your own discretion and risk
Assume full responsibility for your physical and emotional safety during participation
You agree NOT to:
Use our Services for any unlawful purpose
Share, distribute, or resell our proprietary content without written permission
Harass, abuse, or harm other participants or our staff
Disrupt or interfere with our Services or servers
Attempt to gain unauthorized access to our systems
6. ASSUMPTION OF RISK
You acknowledge and agree that:
Participation in somatic practices, breathwork, and movement activities carries inherent risks
You assume all risks associated with participating in our Services
You are physically and mentally capable of participating in the activities
You will immediately discontinue participation if you experience pain, discomfort, or distress
Bodi KEMiSTRI™ is not liable for any injuries, damages, or adverse effects resulting from your par ticipation
7. INTELLECTUAL PROPERTY RIGHTS
All content provided through Bodi KEMiSTRI™, including but not limited to text, graphics, videos, au dio, courses, worksheets, logos, and materials (collectively, "Content"), is the exclusive property of Bo di KEMiSTRI™ and is protected by copyright, trademark, and other intellectual property laws.
You are granted a limited, non-exclusive, non-transferable license to access and use the Content sole ly for your personal, non-commercial use. You may not:
Copy, reproduce, distribute, or create derivative works from our Content
Record, screenshot, or share virtual sessions without express written consent
Use our Content for commercial purposes
Remove or alter any copyright, trademark, or proprietary notices
8. PAYMENT AND REFUND POLICY
8.1 Payment Terms
All fees for Services must be paid in advance unless otherwise agreed in writing
Prices are subject to change with notice
You authorize us to charge your payment method for all fees incurred
All sales are final unless otherwise stated in our refund policy
8.2 Refund Policy
Virtual sessions: Refunds are available if cancellation is made at least 48 hours before the sched uled session
Courses and programs: Refunds may be requested within 7 days of purchase if less than 25% of the content has been accessed
Refund requests must be submitted in writing to the email address provided
We reserve the right to deny refunds on a case-by-case basis
8.3 Late Cancellations and No-Shows
Cancellations made less than 48 hours before a scheduled session may result in forfeiture of pay ment
No-shows will be charged in full
9. SCHEDULING AND ATTENDANCE
Sessions must be scheduled in advance through our booking system
You are responsible for attending sessions at the scheduled time
We reserve the right to reschedule or cancel sessions due to unforeseen circumstances
Virtual sessions require a stable internet connection, which is your responsibility
10. CONFIDENTIALITY AND PRIVACY
Your privacy is important to us. Please refer to our Privacy Policy for information on how we collect, use, and protect your personal information. By using our Services, you consent to our Privacy Policy.
While we maintain confidentiality regarding your participation and personal information shared dur ing sessions, please note:
We may be required to disclose information if required by law
We may share anonymized data for research or educational purposes
Group sessions are not completely confidential due to the presence of other participants
11. COMMUNICATIONS
By using our Services, you consent to receive communications from us, including:
Service-related emails and notifications
Marketing communications (you may opt out at any time)
Educational content and updates
Billing and payment confirmations
12. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW, BODI KEMISTRI™, ITS OWNER, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM:
Your access to or use of (or inability to access or use) the Services
Any conduct or content of any third party on the Services
Any content obtained from the Services
Unauthorized access, use, or alteration of your transmissions or content
IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED THE AMOUNT YOU PAID TO US IN THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.
13. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless Bodi KEMiSTRI™, its owner, employees, contrac tors, and affiliates from and against any claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:
Your use or misuse of the Services
Your violation of these Terms
Your violation of any rights of another person or entity
Your negligence or willful misconduct
14. WARRANTY DISCLAIMER
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MER CHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT:
The Services will meet your expectations or requirements
The Services will be uninterrupted, timely, secure, or error-free
The results obtained from using the Services will be accurate or reliable
Any errors in the Services will be corrected
15. THIRD-PARTY LINKS AND SERVICES
Our Services may contain links to third-party websites or services that are not owned or controlled by Bodi KEMiSTRI™. We have no control over and assume no responsibility for the content, privacy poli cies, or practices of any third-party websites or services. You acknowledge and agree that we shall not be liable for any damage or loss caused by your use of any third-party content, goods, or services.
16. MODIFICATIONS TO TERMS
We reserve the right to modify these Terms at any time. We will provide notice of material changes by:
Posting the updated Terms on our website with a new "Last Updated" date
Sending an email notification to registered users
Providing in-app or on-site notification
Your continued use of the Services after changes become effective constitutes your acceptance of the modified Terms.
17. TERMINATION
17.1 Termination by You
You may terminate your account and discontinue use of our Services at any time by contacting us in writing.
17.2 Termination by Us
We reserve the right to suspend or terminate your access to the Services immediately, without prior notice or liability, for any reason, including but not limited to:
Breach of these Terms
Fraudulent, abusive, or illegal activity
Requests by law enforcement or other government agencies
Discontinuation or material modification of the Services
17.3 Effect of Termination
Upon termination:
Your right to use the Services will immediately cease
You will lose access to any purchased content or ongoing programs
Any fees paid are non-refundable unless otherwise stated
Provisions that by their nature should survive termination shall survive
18. GOVERNING LAW AND DISPUTE RESOLUTION
18.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Califor nia, without regard to its conflict of law principles.
18.2 Dispute Resolution
In the event of any dispute arising out of or relating to these Terms or the Services, the parties agree to first attempt to resolve the dispute through good faith negotiation.
If negotiation fails, both parties agree to submit to binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Los Angeles County, Califor nia.
18.3 Class Action Waiver
You agree to resolve disputes with us on an individual basis and waive your right to participate in any class action or representative proceeding.
19. SEVERABILITY
If any provision of these Terms is found to be unenforceable or invalid by a court of competent juris diction, that provision shall be limited or eliminated to the minimum extent necessary, and the re maining provisions shall remain in full force and effect.
20. ENTIRE AGREEMENT
These Terms, together with our Privacy Policy and any other agreements referenced herein, constitute the entire agreement between you and Bodi KEMiSTRI™ regarding the use of our Services and super sede any prior agreements.
21. NO WAIVER
Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights or provisions.
22. ASSIGNMENT
You may not assign or transfer these Terms or your rights hereunder without our prior written con sent. We may assign our rights and obligations under these Terms without restriction.
